Auto-Renewal & Subscription Disclosure

This Auto-Renewal and Subscription Disclosure ("Disclosure") describes the automatic renewal terms for Skode CRM and Skode Flow subscription plans ("Services") provided by Skode Technologies ("Skode," "we," "us," or "our"). By subscribing to a paid plan, you acknowledge and agree to the auto-renewal terms described below.
1. Automatic Renewal Terms
All paid subscription plans for Skode CRM and Skode Flow automatically renew at the end of each billing cycle unless you cancel your subscription before the renewal date. This applies to both monthly and annual plans.
- Monthly Plans: Automatically renew on the same date each month (or the last day of the month if the original date does not exist in a given month).
- Annual Plans: Automatically renew on the anniversary of the original subscription date each year.
Upon renewal, we will charge the payment method on file for the applicable subscription fee. We will send a renewal reminder email at least 7 days before each renewal date for monthly plans and at least 30 days before each renewal date for annual plans.
2. Renewal Pricing
Your subscription will renew at the then-current price for your plan. If we have increased the price of your plan since your last renewal, we will notify you of the price change at least 30 days before the renewal date. The notification will include the current price, the new price, and instructions for canceling if you do not wish to renew at the new price.
Promotional or discounted pricing is valid only for the initial subscription period unless explicitly stated otherwise. Upon renewal, the standard pricing for your plan will apply.
3. How to Cancel
You may cancel your subscription at any time by following these steps:
- Step 1: Log in to your Skode account at app.skodeai.com.
- Step 2: Navigate to Settings, then Billing and Subscription.
- Step 3: Click "Manage Subscription" and then "Cancel Subscription."
- Step 4: Follow the prompts to confirm your cancellation. You will receive a confirmation email.
Alternatively, you may cancel by emailing billing@skodeai.com with the subject line "Cancel Subscription" and including your account email address. We will process email cancellation requests within 2 business days.
4. Cancellation Deadlines
To avoid being charged for the next billing cycle, you must cancel before the renewal date:
- Monthly Plans: Cancel at least 24 hours before your next monthly renewal date.
- Annual Plans: Cancel at least 30 days before your annual renewal date.
If you cancel after the renewal charge has been processed, the cancellation will take effect at the end of the current billing period. You will retain access to the Services until the end of the period you have already paid for.
5. Refund After Renewal
If you are charged for an auto-renewal that you did not intend, you may request a refund under the following conditions:
- Monthly Plans: Refund requests must be submitted within 7 days of the renewal charge. Refunds are issued on a pro-rata basis for unused time remaining in the billing cycle.
- Annual Plans: Refund requests must be submitted within 14 days of the renewal charge. Refunds are issued on a pro-rata basis for unused months remaining in the annual period.
To request a refund, email billing@skodeai.com with the subject line "Refund Request" and include your account email and the date of the charge. We will process refund requests within 5 to 10 business days.
6. Free Trial Conversion
If you sign up for a free trial that requires providing a payment method:
- Your free trial will last for the period specified at signup (typically 14 days).
- We will send a reminder email at least 3 days before the trial expires.
- If you do not cancel before the trial ends, your account will automatically convert to a paid subscription at the plan and price indicated at signup.
- The first charge will occur on the day after the trial ends.
- You may cancel your trial at any time before it expires without being charged.
Free trials that do not require a payment method will not automatically convert. You will be prompted to select a plan and enter payment information when the trial expires.
7. Annual Plan Renewal
Annual plans provide a discount compared to monthly billing. Upon annual renewal:
- We will send a renewal notice at least 30 days before the renewal date, detailing the renewal price, plan details, and cancellation instructions.
- A second reminder will be sent 7 days before the renewal date.
- If you wish to switch from annual to monthly billing, you must cancel the annual plan before renewal and re-subscribe on a monthly basis.
- Annual plan refunds after the 14-day refund window are not available except where required by applicable law.
8. Billing Cycle
Your billing cycle begins on the date you subscribe to a paid plan or the date your free trial converts to a paid subscription. All charges are billed in advance for the upcoming billing period. Charges are processed in the currency displayed at the time of purchase (USD, EUR, GBP, or INR, depending on your billing region).
If your payment method is declined, we will attempt to charge it again up to 3 times over a 7-day period. If all attempts fail, your account may be downgraded to a free plan or suspended until payment is updated.
9. Price Changes
We reserve the right to change our subscription prices. For any price increase:
- We will provide at least 30 days' written notice before the new price takes effect.
- Notice will be sent via email to the account owner and displayed in the billing section of the platform.
- The new price will apply starting from your next renewal date after the notice period.
- If you do not agree to the new price, you may cancel your subscription before the next renewal date and will not be charged the increased amount.
10. California Auto-Renewal Law Compliance
In compliance with California Business and Professions Code Sections 17600-17606 (California Automatic Renewal Law), Skode provides the following disclosures:
- The automatic renewal terms and cancellation policy are presented clearly and conspicuously before the consumer completes the purchase.
- We obtain affirmative consent to the auto-renewal terms before charging your payment method.
- We provide a confirmation that includes the auto-renewal terms, cancellation policy, and information on how to cancel.
- We provide a cost-effective, timely, and easy-to-use mechanism for cancellation, available through the account settings or by email.
11. UK DMCCA 2024 Compliance
In compliance with the UK Digital Markets, Competition and Consumers Act 2024 (DMCCA), Skode provides the following specific commitments for UK consumers:
- Pre-Contract Information: Before you commit to a subscription, we clearly display the full subscription price, billing frequency, renewal terms, and minimum commitment period. This information is provided in a durable medium (email confirmation) that you can save and refer to later.
- Renewal Reminders: We send renewal reminder notices at least 7 days before monthly renewals and at least 30 days before annual renewals. Reminders include the renewal price, renewal date, and clear instructions on how to cancel.
- Easy Cancellation: You can cancel your subscription through the same channel used to subscribe (online via account settings). The cancellation process requires no more steps than the signup process. You are not required to call a phone number, visit a physical location, or navigate unreasonable barriers to cancel.
- No Dark Patterns: We do not use confusing interfaces, hidden options, or manipulative design patterns to discourage cancellation.
- Cooling-Off Rights: UK consumers have a 14-day cooling-off period under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. If you request the service to begin during the cooling-off period, you may still cancel, but you may be charged for services already provided on a pro-rata basis.
- Post-Cancellation Access: After cancellation, you retain access to the Services until the end of the billing period you have already paid for. No further charges will be made.
12. India E-Commerce Rules Compliance
In compliance with the Consumer Protection (E-Commerce) Rules, 2020 (India), Skode ensures that:
- All charges, including auto-renewal charges, are clearly disclosed in Indian Rupees (INR) where applicable.
- A cancellation and refund mechanism is clearly communicated and accessible.
- Consumers are not charged for services they did not explicitly consent to.
